Malaysia: MNRB agrees to US$405.5m divestment of Takaful IKHLAS

MNRB Holdings has entered into implementation agreements with Rakyat Nominees and Bank Kerjasama Rakyat Malaysia (Bank Rakyat) for the proposed divestment of its wholly owned subsidiaries, Takaful Ikhlas Family and Takaful Ikhlas General, collectively known as Takaful IKHLAS, for a total consideration of MYR1.64bn ($405.5m), subject to adjustments.
 
The agreements set out the framework for the proposed transaction, including the parties’ responsibilities and steps required to execute the definitive transaction documents.
 
MNRB Chairman Mr Sulaiman Mohd Tahir said the transaction is part of the group’s strategy to review its investment portfolio and align its resources with its long-term priorities. He said the divestment would allow MNRB to unlock the value of its investment in the direct and primary takaful segments while strengthening its focus on reinsurance and retakaful.
 
The transaction follows MNRB’s proposed acquisition of the remaining 80% equity interest in Labuan Reinsurance (L), announced in May 2026.
 
Mr Sulaiman said the proposed divestment, together with the Labuan Re acquisition, forms part of the group’s broader strategic transformation. M
